1. Agreement to Terms
By engaging Jordan Forsyth Publishing, LLC ("Agency", "we", "us") for any digital marketing services, you ("Client") agree to be bound by these Terms of Service. These terms, along with a formal Statement of Work (SOW), constitute the entire agreement between the Agency and the Client.
2. Digital Marketing Service Conditions
The Agency will provide the services as detailed in the SOW. The Client understands that digital marketing is a dynamic field and that the Agency cannot guarantee specific results, such as search engine rankings, lead volume, or conversion rates. Our commitment is to provide expert, data-driven services aimed at achieving the objectives outlined in the SOW.
3. Timelines
All timelines provided are good-faith estimates. The Agency is not liable for delays resulting from the Client's failure to provide timely feedback, assets, or necessary access. We will communicate any anticipated delays in a timely manner.
4. Payment Terms
Payment terms will be specified in the SOW. For retainer-based services, payments are due in advance of each service period. All payments made to the Agency for services rendered are non-refundable. Late payments may result in a suspension of services.
5. Confidentiality
Both parties agree to treat all non-public information received from the other party as strictly confidential. This includes, but is not limited to, business strategies, financial data, client lists, and campaign performance data. This duty of confidentiality survives the termination of the service agreement.
6. Legal Disclaimers and Limitation of Liability
Services are provided "as is". In no event shall Jordan Forsyth Publishing, LLC be liable for any lost profits, or any indirect, special, incidental, or consequential damages. The total liability of the Agency for any claim arising from this agreement shall not exceed the fees paid by the Client to the Agency during the three (3) month period immediately preceding the date the claim arose.
